ORGANIZATIONAL STRUCTURE

1. Porti Detar SH.A Sarandë is managed by:

1. Supervisory Council
1.1 The Supervisory Council is elected by the Ministry of Finance and Economy, supporting Law No. 9901, No. 7926, dated 20.04.1995 "Transformation of State Enterprises into Commercial Companies" as amended, Law No. 9901, dated 14.04.2008, "On Traders and Commercial Companies," as amended, and the company's statute, as the sole shareholder of PDS. Currently, it has three members.

• Purpose of the Supervisory Council:
o a) Observes and supervises the administration, implementation of commercial policies by the directorate, and controls compliance with the requirements of the Law and the Statute. The duties of the Supervisory Council, as defined by point 1 of Article 167, letters b, c, ç, d, dh, e, ë, f, g, and i of point 1 and point 2 of Article 154 of the Law, cannot be delegated to the directorate.
o b) Authorizes the administrator to carry out actions and conclude agreements as stipulated by law.
o c) Has the right at any time to verify, control, and become familiar with any documentation deemed necessary for the fulfillment of its duties
o d) Proposes to the Ministry of Finance and Economy short-term, medium-term, and long-term economic development programs, investments, and financing for the financial year, as well as other measures that would require changes to the company's core capital, the opening of new activities or units, and the sale of long-term material assets.

2. Executive Directorate,which is headed by the General Director of the Port, who is responsible for the operation and management of the Port.

a) The Director organizes and takes responsibility for all company activities and approves the job descriptions for each branch, sector, and job position.
b) Proposes to the Supervisory Council changes in the organizational structure to improve work efficiency.
c) Plans monthly work schedules and all tasks assigned to the directorate according to their areas.
d) Directs the work for drafting project ideas, implementing them, and improving the company's economic-financial indicators.
e) Distributes correspondence addressed to the company and monitors and controls the work done by branch heads, sector leaders, and individual employees to determine and provide legal solutions within specified deadlines.
f) Drafts, controls, and signs prepared correspondence, builds relationships with other institutions either personally or through an authorized employee.
g) Conducts periodic analyses of the company's activities.

h) Implements the Labor Code and the obligations arising from it.
i) Demands strict legal compliance from all employees.
j) Controls and takes measures to improve the overall work organization.
k) Approves contracts with third parties and any other act specified in specific duties.
l) Leads cross-border strategic projects with branch heads.
m) Is accountable to the state, the company, and any third party for any violation of the law.

Sole Shareholder
The sole shareholder of the company is the Ministry of Finance and Economy. From the company's profits, the shareholder receives 10% of the profit as a dividend
